A network company with legal personality is a business network established pursuant to Article 3, paragraph 4-ter, of Legislative Decree 5/2009 (converted into Law 33/2009) that has chosen the “network-subject” form, acquiring autonomous legal personality with the following characteristics:
- is registered in the ordinary section of the Company Register,
- it is equipped with a common patrimonial fund,
- has a common body that represents it,
- acquiring autonomous legal personality,
- has its own tax code and VAT number,
- carries out commercial activities,
- can enter into contracts on his own,
- can hire staff,
- may be the owner of assets,
- is liable for the obligations with the network’s equity fund.
It is neither a joint-stock company nor a partnership: it is an autonomous organizational form, distinct from LLCs, S.p.A.s, consortia, temporary joint-stock companies, etc.
In short, putting things into context, #Ecologja is a company of ARIANET.SUEZ 1and EUROFINS.EnvironLab2, founded with a network contract by choice as a Non-Profit with legal personality, it operates administratively and fiscally as a single company and commercially represents its member companies; it assumes the role of leader in the technical-economic inter-company coordination, when it requires the inclusion in the Working Group of other companies/institutions, generally affiliated, for example: DrAeS3 of the Mario Negri Institute, EpiMed4 of UNISUBRIA, forming the GdL.VIIAS.IMN.UNINS#ecologja.
From a legal standpoint, as an association of companies, it avails itself of all the insurance and certifications held by the individual companies actually performing the work. For example, in the Industrial and Environmental Hygiene Monitoring Plans, personnel working at a production site will be employed by Eurofins.Environlab and/or another associated/affiliated company with the relevant ISO Quality Certifications, ACCREDIA Certifications, and anything else useful and/or necessary for the Safety and Quality of the technical intervention.
Finally, it should be noted that the #ecology business network does not require employees because the employees of the individual member companies operate there, and it avails itself of the consultancy of freelancers, both of whom serve as “inter-company contacts”.
